Structure decision
We compare liability, compliance cost and tax treatment for your specific plan before registering anything.
Choosing a business structure decides your liability, your compliance load and how you will be taxed — and changing it later costs more than choosing correctly now. Makhija & Company registers proprietorships, partnership firms, LLPs, private limited and public limited companies in Ahmedabad, and sets up the PAN, TAN, bank account, GST and compliance calendar that follow.
| Proprietorship | One owner, lowest compliance, no legal separation between you and the business |
|---|---|
| Partnership firm | Two or more partners under a deed; simple to form, liability is shared and unlimited |
| LLP | Partnership flexibility with limited liability; registered with the MCA |
| Private limited | Minimum two directors and two shareholders; the structure investors expect |
| Public limited | Minimum three directors and seven shareholders; the heaviest compliance load |
| Always needed after | PAN, TAN, bank account, and usually GST and Udyam registration |
The question is rarely "which structure is best" — it is which trade-off suits the next three years. A proprietorship is cheap and quick but offers no separation between your personal assets and the business. An LLP gives you that separation without the board meetings and statutory filings a company carries. A private limited company costs the most to run and is the only one most investors and large buyers will deal with.
We walk through liability, expected turnover, whether you will raise money, and who your customers are — then register the one that fits.
If one of these sounds like you, this is the right page.
This is the general set. After the first call you get one checklist built for your exact case, rather than a generic list you have to interpret.
That is what the free consultation is for. Tell us the situation and we will tell you the shortest route through it — including when the answer is that you do not need this service at all.

A lot of the businesses we register have been trading informally around Sarangpur for years and are formalising because a customer, a bank or a marketplace has asked them to. That changes which structure makes sense. It is worth twenty minutes of conversation before anything is filed, because converting later costs more than choosing correctly now.

Name availability is checked and reserved, and DSCs are issued for the directors or designated partners.
Documents are drafted and filed with the MCA or the Registrar of Firms, depending on the structure.
PAN, TAN, bank account, GST, Udyam and your first-year compliance calendar are set up together.
QShould I register an LLP or a private limited company?
An LLP is lighter to run — fewer statutory filings, no board meeting requirements, and profit sharing set by agreement. A private limited company costs more to maintain but is what investors, large customers and most funding routes expect. If you plan to raise external capital, choose the company; if you are running a professional or services practice on your own funds, the LLP usually wins.
QCan I start as a proprietor and convert later?
Yes, and many businesses do. Conversion is possible but involves fresh registrations, transferring contracts and licences, and a break in continuity that lenders sometimes ask about. If you already know you will need a company within a year, registering one now is usually cheaper than converting later.
QDo I need a commercial address to register?
A registered office address is required, and it can often be a residential address with the owner's no-objection certificate and a recent utility bill. What matters is that you can receive official correspondence there and produce valid proof.
QHow many people do I need?
A proprietorship needs one. A partnership or LLP needs at least two. A private limited company needs at least two directors and two shareholders — the same two people can hold both roles. A public limited company needs at least three directors and seven shareholders.
QWhat compliance follows registration?
It depends on the structure. Companies and LLPs have annual MCA filings and, above certain limits, audit requirements. Firms and proprietorships have lighter obligations but still need to file returns. We set the calendar up at registration so nothing is missed in year one.
